2. Scope of Services

We provide services including but not limited to:

Web design & development
SEO & technical optimisation
Content writing & blog management
Branding & logo creation
Social media content & management
Digital consultancy
E-commerce solutions

All services are delivered on a time-and-materials or project-based agreement, depending on the contract.

3. Estimates, Pricing & Payments

All quotes are exclusive of VAT and valid for 30 days unless otherwise stated.
Payment terms are typically 50% upfront, 50% upon project completion unless otherwise agreed in writing.
Late payments may result in delayed delivery or project suspension.
All invoices must be paid in GBP unless agreed otherwise.
Additional work outside the agreed scope will be quoted separately.

4. Project Delivery

We work closely with clients throughout the project, requiring approval at key stages.
Delays in client feedback may impact timelines.
Most development and design work is completed remotely, with communications handled via email, project management tools, or video call.
Final deliverables are shared after full payment is received.

5. Intellectual Property

All designs, code, content, and deliverables remain the property of OK Promo Solutions LTD until payment is received in full.
Upon final payment, intellectual property created specifically for the client becomes the client’s property.
Pre-existing tools, templates, or systems remain the property of OK Promo Solutions.

6. Content Usage & License

All designs, code, content, and deliverables remain the property of OK Promo Solutions LTD until payment is received in full.

7. Client Responsibilities

Provide accurate and complete information.
Respond to communications in a timely manner.
Approve project milestones and revisions promptly.
Maintain backups of any live content unless otherwise agreed.

8. Website Use

You agree not to:
- Use the website for fraudulent or unlawful activity.
- Upload malicious files or software.
- Attempt to gain unauthorised access to the site or server.
- Use the website to distribute unsolicited commercial messages.

9. Confidentiality

We treat all client information, project data, and trade secrets as confidential unless agreed otherwise in writing. We reserve the right to use non-sensitive project outcomes (e.g., logo or website screenshots) in our portfolio unless the client requests otherwise.

10. Cancellations & Termination

We reserve the right to terminate any project if:
- You fail to pay invoices within agreed terms.
- There is a breach of contract or inappropriate conduct.
- The project becomes unfeasible due to delays or lack of communication.
In the event of termination, all work completed remains payable, and all rights revert to OK Promo Solutions until settled.

11. Warranty & Support

We provide a 30-day bug-fix warranty for websites and digital products unless otherwise stated.
We do not warrant that websites or tools will be error-free or meet every client expectation beyond the agreed scope.
Ongoing support and updates may be available under a separate maintenance contract.

12. Limitation of Liability

We are not liable for:
- Loss of profits, data, or business opportunity
- Delays caused by third-party services or platforms
- Damages arising from content supplied by the client
- Downtime or errors after the handover unless under an active maintenance contract
Our liability shall not exceed the total amount paid for the specific service in question.

13. Third-Party Tools & Software

We may use third-party platforms, tools, or plugins (e.g., WordPress, Shopify, Google tools) as part of service delivery. We are not responsible for issues arising from these platforms, their policies, or limitations.

14. Revisions & Amendments

These Terms may be updated from time to time. Continued use of our website or services indicates your acceptance of any revisions. Please check back periodically.

15. Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales. Disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in England and Wales.
